By creating an account and using BGMS, you agree to comply with and be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our service.

• Automated renewal tracking and notifications
• Project and bank management

3. Account Registration and Security

3.1 Registration

To use BGMS, you must:

• Provide accurate, current, and complete information during registration
• Be authorized to enter into this agreement on behalf of your company
• Be at least 18 years of age
• Maintain and update your account information

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your users comply with these Terms

4. Acceptable Use Policy

You agree NOT to:

• Use the service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Interfere with or disrupt the service or servers
• Attempt to gain unauthorized access to any part of the service
• Upload viruses, malware, or malicious code
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Use automated systems (bots, scrapers) without permission
• Reverse engineer or attempt to extract source code
• Resell or redistribute the service without authorization

5. Data and Content

5.1 Your Data

You retain all rights to the data you upload to BGMS. You grant us a limited license to:

• Store and process your data to provide the service
• Create backups for disaster recovery
• Generate aggregate, anonymized analytics

5.2 Our Content

BGMS and its original content, features, and functionality are owned by Cybex Innovation and are protected by international copyright, trademark, and other intellectual property laws.

5.3 Data Responsibility

You are responsible for:

• The accuracy and legality of data you upload
• Obtaining necessary permissions to upload data
• Complying with data protection laws applicable to your data
• Maintaining appropriate backups of critical data

6. Subscription and Payment

6.1 Subscription Plans

BGMS offers various subscription plans with different features and limitations. Current pricing is available on our website.

6.2 Payment Terms

• Subscriptions are billed in advance on a monthly or annual basis
• Payment is due immediately upon subscription
• All fees are non-refundable except as required by law
• Prices may change with 30 days' notice

6.3 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel anytime from your account settings.

6.4 Taxes

All fees exclude applicable taxes, which will be added as required by law.

7. Service Availability and Support

7.1 Service Level

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance with notice when possible.

7.2 Support

Support is provided via email and phone during business hours. Premium plans may include enhanced support options.

7.3 Updates

We may update the service with new features, improvements, or changes. We will notify you of significant changes.

8. Termination

8.1 By You

You may terminate your account at any time from your account settings. Upon termination:

• Your access will be disabled immediately
• You may export your data within 30 days
• We will delete your data after 90 days

8.2 By Us

We may suspend or terminate your account if:

• You violate these Terms
• Your account is inactive for over 12 months
• Payment fails and is not resolved within 15 days
• We are required by law to do so

9. Warranties and Disclaimers

BGMS is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of content
• Uninterrupted or error-free operation

Important: BGMS is a management tool. You are responsible for ensuring your bank guarantees are valid, renewed on time, and comply with all legal requirements. We are not liable for any lapses or failures in your guarantee management.

10. Limitation of Liability

To the maximum extent permitted by law, Cybex Innovation shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, or data
• Business interruption
• Damages exceeding the amount you paid in the past 12 months

11. Indemnification

You agree to indemnify and hold harmless Cybex Innovation from any claims, damages, or expenses arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any rights of another party
• Your data or content

12. Confidentiality

We agree to maintain the confidentiality of your data and not disclose it except as permitted by these Terms or our Privacy Policy.

13. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the platform. Continued use after changes constitutes acceptance of the new Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be resolved through:

• Good faith negotiations
• Mediation, if negotiations fail
• Arbitration in Kolkata, India, as a last resort

15. General Provisions

15.1 Entire Agreement

These Terms constitute the entire agreement between you and Cybex Innovation regarding BGMS.

15.2 Severability

If any provision is found invalid, the remaining provisions remain in effect.

15.3 No Waiver

Failure to enforce any right does not constitute a waiver of that right.

15.4 Assignment

You may not assign these Terms without our consent. We may assign them freely.

15.5 Force Majeure

We are not liable for failures due to circumstances beyond our reasonable control.
